This page lists the technical terms and their definitions used in the CoAssembly Bylaws.


Chinese: 勞工老闆

Full member holding both worker and shareholder status; they exercise governance rights, receive distributions/returns, and share Co-op risk and responsibility.

Chinese: 準勞工老闆

Training-period participant (12 months) who has not yet become a shareholder. The training period has two phases: months 1–6 (internship) and months 7–12 (participation).

Chinese: 飛行成員

Supporting member maintaining a long-term mutual-aid or collaborative relationship with the Co-op; no vote on major matters, not counted in consensus quorum, may participate in discussions and provide consultation per applicable rules.

Chinese: 非老闆接案夥伴

External contractor or partner who is neither a Co-op worker nor shareholder and is not a Co-op member; no governance or voting rights, rights and obligations governed by their written collaboration agreement.

Chinese: 勞工大會

The Co-op’s highest internal decision-making body, composed of all worker-owners (including associate worker-owners), responsible for major decisions, bylaw amendments, and more.

Chinese: 共識決

The Co-op’s preferred decision-making approach, emphasizing thorough discussion and seeking agreement from all members; when consensus fails, GOV-06 voting applies.

Chinese: 重大事項

Matters requiring a higher decision threshold, including bylaw amendments, member admission/removal, and major asset disposal. Associate worker-owners are excluded from consensus quorum and have no vote on major matters.

Chinese: 公司池

Shared funds contributed to the Co-op from project pool allocations, administrative service fees, etc., used for organizational operations, member welfare, and education subsidies.

Chinese: 固定營運成本

Necessary daily operating expenses including registration fees, accountant fees, essential software subscriptions, basic labor/health insurance, and miscellaneous operating expenses; shared per-capita among all worker-owners.

Chinese: 總收入

The total of all Co-op revenue sources; the basis for calculating pool allocations — calculated on gross revenue, not net income after deducting costs.

Chinese: 風險準備金

The minimum amount maintained in the common pool to handle bad debts, delayed payments, unexpected legal/tax expenses, and other risk events.

Chinese: 三倍原則

Within the same project and settlement period, any participant’s total compensation may not in principle exceed three times that of any other participant.

Chinese: 利益衝突

Situations where a member’s personal interests may conflict with the Co-op’s interests, including competition and related-party transactions; requires disclosure and recusal.

Chinese: 委託案

A project directly commissioned to the Co-op by an external client; the Co-op is the direct contractor and contributes at least 30% to the common pool.

Chinese: 自籌案

A project self-initiated by Co-op members without an external client; funding comes from self-raised funds, crowdfunding, or Co-op investment.

Chinese: 補助案

A project funded by government or institutional grants; the Co-op must ensure at least 30% value is recovered and shared by the organization.

Chinese: 過案

A project where the Co-op provides only administrative contracting, invoicing, and payment collection services; a 15% administrative service fee is charged.

Chinese: 智慧財產歸屬

The principle governing copyright, patent rights, and other intellectual property from project outputs; defaults to Co-op ownership, adjustable by project contract.

Chinese: 透明原則

A core Co-op value requiring financial, decision-making, and operational information to be open to members, fostering trust and participation.

Equal Capital Contribution & Equal Shareholding

Chinese: 等額出資、等額持股

The Co-op’s ownership structure principle: all worker-owners contribute the same amount and hold the same number of shares; governance follows one person, one vote.
